As we continue to scale, we are strengthening our governance capability and are seeking a fractional Company Secretary to support our organisation during this important phase of growth.

About The Role

We are committed to strong governance, transparent decision‑making and effective leadership as we scale. To support this, we are seeking an experienced and proactive Company Secretary to strengthen our governance framework and provide high‑quality support to our Board.

The Company Secretary will provide essential support by ensuring compliance with legal and regulatory requirements and upholding high standards of corporate governance.

The role is part‑time, requiring approximately two days per month, with additional time at peak periods. Some flexibility around Board and investor cycles will be important to meet the evolving needs of the business.

Key Responsibilities

Governance & Compliance

Ensure the organisation complies with the Companies Act 2006 and all other relevant legislation, monitoring any changes in legislation and advising the Board on their implications. Maintain statutory registers, ensuring accurate and timely updates across directors, shareholders and Persons with Significant Control (PSCs). File statutory documents such as confirmation statements and annual returns with Companies House.

Board & Shareholder Support

Organise and administer Board meetings and Annual General Meetings (AGMs), including agenda preparation, paper coordination, minutes and follow‑up actions. Take accurate minutes and maintain clear records of Board discussions and decisions. Advise the Chair and directors on governance best practice and meeting procedures. Provide clear guidance on the Shareholder Agreement and Articles of Association to support compliant decision‑making. Support compliance processes such as investor approvals in line with the Shareholder Agreement.

Corporate Administration

Manage share transactions, including transfers and administration of share option schemes. Maintain accurate company structure and registered office records.

Skills & Qualifications

In‑depth knowledge of UK company law, finance, and corporate governance principles. Excellent organisational and time‑management skills. High attention to detail and accuracy. Strong written and verbal communication. Ability to build strong, trusted relationships with Board members and senior stakeholders.

Desirable

Professional qualification from the Chartered Governance Institute UK & Ireland (ICSA), or an equivalent accreditation. Experience working within a small or medium-sized enterprise (SME) environment.
