A part-time FD on the board — statutory director or finance lead?

The first structural question with a part-time FD is whether they join the board as a statutory director or lead finance while reporting to it. The difference is legal, not cosmetic. A company director must keep company records, prepare and file the annual accounts and the Company Tax Return, and pay Corporation Tax — and GOV.UK is explicit that you can hire people to manage these day to day, but directors are still legally responsible for the company's records, accounts and performance.

A part-time finance director appointed to the board also takes on the general duties in the Companies Act 2006, including the duty to exercise reasonable care, skill and diligence. The test looks at what can reasonably be expected of someone doing that job and at the knowledge and experience the director actually has — so a qualified accountant on the board is measured against that expertise.

Neither route is wrong. A directorship gives the FD authority with lenders and the board; an adviser role leaves the statutory duties with the existing directors. Agree which it is in the engagement letter and check the company's directors' and officers' insurance before the appointment.
