Civsec Group, a founder-led UK acquisition platform in technical services, is seeking an experienced Acquisition CFO to evaluate, structure and finance SME acquisitions. The role is explicitly fractional or transaction-specific initially, with potential to evolve into a full Group CFO position. This is a hands-on, commercially driven opportunity requiring direct M&A execution experience and acquisition financing expertise.

01

Fractional CFO — the balanced verdict

Why this role stands out

  • Explicitly fractional/part-time engagement from the outset; no pretence of full-time salaried conversion
  • Clear, well-defined remit — acquisition evaluation, due diligence, financing structuring and group financial integration
  • Founder-led, operator-backed group with active acquisition pipeline and capital backing
  • Flexibility on engagement structure (fees, transaction mandates, potential earn-out alignment)
  • Attractive for portfolio CFOs seeking meaningful M&A involvement without permanent commitment

Worth checking before you apply

  • No day rate, hourly rate or fee range stated; remuneration 'to be agreed'—negotiate clearly before engagement
  • Fractional initially but role scope suggests potential time creep as acquisitions close; clarify boundaries
  • Early-stage group (2–10 employees); founder-led implies limited existing finance infrastructure; high execution burden on hire

About Civsec Group

Civsec Group is an operator-led UK acquisition platform focused on acquiring, operating and scaling profitable businesses across essential and technical services.

Our target sectors include fire and security systems, building compliance, electrical and mechanical maintenance, facilities management, testing and inspection, and other specialist technical services.

We are pursuing a long-term buy-and-build strategy, prioritising established businesses with recurring revenues, strong customer relationships, experienced management teams and sustainable cash flows.

With an active pipeline of acquisition opportunities, we are now strengthening our senior leadership capabilities to support transaction execution, acquisition financing and the development of a scalable group.

The Opportunity

We are seeking an experienced Acquisition CFO / Finance Director to work directly alongside the Founder in executing our initial acquisitions and building Civsec's financial infrastructure.

This is a hands-on, commercially focused opportunity for a finance leader who has personally supported UK SME acquisitions through financing, due diligence, negotiation and completion.

The successful candidate will play a central role in assessing acquisition opportunities, developing financial models, structuring transactions, coordinating with our acquisition finance advisers and supporting the development of the group's financial strategy.

We are particularly interested in individuals who have previously operated within private equity-backed businesses, acquisitive groups, independent sponsor environments or founder-led organisations.

The engagement will initially be fractional, part-time or transaction-specific, with the potential to develop into an ongoing Group CFO appointment as Civsec completes acquisitions and expands.

This is not a conventional accounting or financial reporting position. We are looking for someone who combines technical financial expertise with commercial judgement and a demonstrable record of acquisition execution.

Key ResponsibilitiesAcquisition Evaluation & Execution

Evaluate potential acquisition targets, including historical financial performance, profitability, cash generation and maintainable EBITDA.

Develop and challenge financial models, acquisition valuations and transaction structures.

Analyse working capital requirements, existing debt, customer concentration and financial risks.

Coordinate financial due diligence alongside external accounting, legal and transaction advisers.

Support negotiations, Heads of Terms, transaction documentation and completion planning.

Assess the financial viability of acquisitions and identify issues that could affect execution.

Acquisition Financing & Capital Structuring

Develop credible acquisition funding structures incorporating senior debt, cash-flow lending, asset-based finance, seller financing and external equity.

Model acquisition debt capacity, cash available for debt service, debt-service coverage, leverage and covenant headroom.

Evaluate the implications of deferred consideration, earn-outs, repayment obligations and transaction costs.

Prepare and review financial information, lender presentations, investment materials and acquisition forecasts.

Work collaboratively with Civsec's acquisition finance advisers, lenders and capital providers.

Support transaction financing processes from initial assessment through to completion.

Ensure appropriate working capital and liquidity are maintained following acquisition.

Group Finance & Buy-and-Build Integration

Help establish the financial reporting, controls and governance required for a growing multi-company group.

Oversee the financial integration of acquired businesses.

Develop consolidated management reporting, budgeting, forecasting and cash-flow monitoring.

Establish consistent financial performance indicators across group companies.

Support future acquisitions, operational improvements and integration initiatives.

Contribute to long-term capital allocation, financial strategy and value creation.

Candidate RequirementsEssential

  • Professionally qualified accountant (ACA, ACCA, CIMA or equivalent relevant experience).
  • Significant experience as a CFO, Finance Director or senior transaction-focused finance executive.
  • Direct, demonstrable involvement in completed UK SME acquisitions, ideally including multiple transactions.
  • Strong acquisition modelling, financial due diligence and cash-flow forecasting capabilities.
  • Practical experience structuring or supporting acquisition debt and equity financing.
  • Understanding of lender requirements, leverage, debt-service coverage, covenants and transaction funding structures.
  • Strong commercial judgement and the ability to identify financial risks early.
  • Experience engaging with lenders, private equity investors, business owners and external advisers.
  • Comfortable operating independently and working directly with an entrepreneurial Founder.
  • Ability to balance commercial ambition with financial discipline and realistic execution.
  • Highly Desirable
  • Experience within private equity-backed or buy-and-build businesses.
  • Previous involvement in acquiring and integrating multiple UK SMEs.
  • Experience in fire and security, building compliance, electrical maintenance, facilities management or other technical services.
  • Familiarity with independent sponsor transactions and acquisition platforms.
  • Established relationships with acquisition lenders, debt advisers, private capital investors or corporate finance professionals.
  • Experience establishing group-level financial controls and reporting following acquisitions.
  • Previous experience operating as a fractional or portfolio CFO.
  • Engagement & Remuneration
  • This is initially a part-time, fractional or transaction-specific engagement, rather than a permanent full-time salaried position.
  • The structure will be developed around the successful candidate's experience, availability and the needs of Civsec's acquisition programme.

Remuneration and scope will be agreed in advance of any substantive work. Arrangements may include:

Agreed fractional or project-based professional fees.

Defined transaction-specific mandates and deliverables.

Potential transaction-linked compensation, where appropriate and legally permissible.

The opportunity to transition into a more substantial Group CFO position following successful acquisitions.

We are looking for a long-term strategic contributor who is interested in helping establish and scale an acquisition-led business group.

Why Join Civsec?

Opportunity to work directly with the Founder on an active UK acquisition strategy.

Meaningful involvement in acquisition evaluation, financing and execution.

Exposure to opportunities across essential and technical services.

Ability to shape the financial infrastructure and acquisition strategy of an emerging group.

Flexible engagement structure suited to experienced portfolio or fractional executives.

Potential to develop into a long-term senior leadership role as the group expands.

Application Process

We welcome applications from experienced CFOs, Finance Directors and senior transaction finance professionals with a demonstrable acquisition track record.

Please apply with your CV or LinkedIn profile and include a brief summary covering:

Acquisition experience: The number and approximate value of acquisitions you have personally supported through completion.

Financing experience: Your involvement in acquisition debt, equity funding and capital structuring.

Buy-and-build experience: Previous work with acquisitive, founder-led or private equity-backed businesses.

Availability: Your capacity to support an initial fractional or transaction-based engagement.

Shortlisted candidates will be invited to an introductory discussion with the Founder, followed by a transaction-focused assessment of relevant experience and potential responsibilities.

Applications will be treated confidentially and candidate information processed for recruitment purposes in accordance with applicable data protection requirements.

Civsec Group welcomes applications from experienced professionals who combine financial expertise, commercial judgement and an entrepreneurial approach to building businesses.
