What is fractional legal counsel?
Fractional legal counsel is a legal counsel or senior legal counsel engaged for part of the week, often by more than one business.
“Fractional” describes the days, not the seniority or the depth of the work.
They work as part of the business, not as an outside adviser on a single matter.
Because they learn how it sells, hires and handles data, routine questions are answered from the inside.
Legal counsel, general counsel or a law firm
Legal counsel does the legal work: drafting, negotiating, advising, and escalating what needs a decision.
A general counsel owns the company’s legal risk, sits with the leadership team and manages outside lawyers; see what a general counsel does.
A law firm acts matter by matter, under its own regulation and insurance.
It suits litigation, transactions and specialist questions, and fractional counsel is often the person who decides when to instruct one.

Counsel makes sure the process is followed before a dispute starts, not after.
Data protection
Privacy notices, data-sharing agreements, supplier checks and breach response under UK GDPR.
Where the ICO’s rules require a data protection officer, counsel works alongside that role.
Disputes triage
Deciding which complaints, claims and letters before action need a law firm, and which can be settled in-house.
Counsel briefs the firm when one is needed and keeps the cost in view.
In an employment dispute, anyone who wants to bring a tribunal claim must first notify Acas, which then offers early conciliation.
Counsel decides how the business takes part.
Board support
Board papers, minutes, director duties and the legal side of a raise or a sale.
Counsel prepares the work; the board decides.
Directors can hire professional help, but Companies House guidance is clear that they stay legally responsible for the company’s records, accounts and performance.

Fractional counsel · the shorter name for the same role
Fractional counsel is the shorter name for fractional legal counsel.
Some people use it for any part-week in-house lawyer, so read the role description rather than the title.
Three questions settle it.
Who owns legal risk, who instructs outside firms, and who reports to the board?
If the answer to all three is the same person, the role is a general counsel’s; see fractional general counsel.

06/ fractional legal services
Fractional legal services · a person, not a product
Fractional legal services usually means a named lawyer working part of the week inside your business.
Some providers use the phrase for a subscription to a pool of lawyers, which is closer to an outsourced law firm.
The difference matters for regulation.
Section 12 of the Legal Services Act 2007 defines legal activity to include legal advice and representation, and sets out a narrower list of reserved legal activities.
The reserved list is rights of audience, the conduct of litigation, reserved instrument activities, probate activities, notarial activities and the administration of oaths.
Most contract, employment and data protection advice is not on it.
The SRA’s guidance for employers says a solicitor employed by a business that is not authorised to provide legal services may offer any type of legal service to outside clients except reserved legal services to the public and a few other specified areas.
So ask how a service is delivered, by whom, and who is regulated for it.
07/ regulation
Who regulates fractional legal counsel · the SRA and the practising certificate
The Solicitors Regulation Authority regulates solicitors in England and Wales, in-house as well as in private practice.
The SRA’s practising certificate guidance says a solicitor described as one, or carrying on reserved legal activities, needs a practising certificate.
It is a criminal offence for an unqualified person to wilfully pretend to be qualified to act as a solicitor.
Ask to see the certificate.
In-house solicitors keep their professional duties when they join you.
The SRA says principles that protect the public interest, such as the duty not to mislead a court, take precedence over an employer’s instructions.
Not every in-house lawyer is a solicitor, so ask which regulator a candidate answers to.

It includes a protocol for the organisations that employ them.
08/ insurance
Professional indemnity insurance · who covers the advice
A solicitor you employ is not subject to the SRA’s compulsory professional indemnity insurance requirements.
The SRA’s guidance notes that the employer is vicariously liable for their work and should make sure its own insurance covers it.
Where fractional counsel works through their own company, ask what professional indemnity insurance they hold and what it covers.
Put the answer, with limits and exclusions, in the contract.
Ask your broker whether your policy covers legal advice from a contractor as well as from an employee.
Settle it before the first day.
09/ legal compliance
Which fractional expert is needed for legal compliance? · matching the expert to the duty
The answer depends on the law in question.
For contracts, employment, disputes and most day-to-day legal duties, the expert is fractional legal counsel.
For data protection, it may be a data protection officer.
Under UK GDPR, public authorities and organisations whose core activities involve large-scale, regular and systematic monitoring of individuals, or large-scale processing of special category data, must appoint one (ICO).
The ICO says a DPO can be an existing employee or appointed externally, so the role can be part of the week.

How to hire fractional legal counsel · and what it costs
Write down the work for the first three months, the days a week, the reporting line and what counsel may sign off alone.
Then test candidates on work like yours: a contract they rewrote, a dispute they triaged, a policy they drafted.
Check regulation and insurance before the start date.
Agree who holds privileged documents and how urgent requests are handled between days.
If counsel works through their own company, the off-payroll working rules (IR35) may apply.
Status depends on how the engagement runs in practice, and a medium or large client makes the determination; our IR35 guide sets out the tests.
